End-User License Agreement

This End-User License Agreement ("Agreement") is a legal agreement between you ("User", "You") and Yoga Health Center ("Company", "We", "Us") regarding your use of the Yoga Health Center Time Tracking Application and The YHC Way Application (collectively, "the Applications").

1. License & Scope

1.1 License Grant

We grant you a personal, limited, non-exclusive, and revocable license to use the Applications solely for authorized business purposes related to your employment or engagement with Yoga Health Center.

1.2 The YHC Way & Proprietary Content

You acknowledge that The YHC Way contains highly sensitive, proprietary business methods, training materials, and operational secrets. You agree to maintain the strict confidentiality of all content accessed within this app and will not share, screenshot, or distribute these materials outside of your official duties.

2. Prohibited Conduct

In addition to standard restrictions, you expressly agree not to:

  • Use the Applications to harass, threaten, or defraud the Company or other employees.

  • Circumvent any "geofencing" or location-based verification features used for time tracking.

  • Share your unique login credentials; you are solely responsible for all activity occurring under your account.

3. User Content & Data

3.1 Accuracy of Records

You represent that all time-tracking data submitted is an accurate and truthful reflection of the hours worked. Falsifying records is a material breach of this Agreement and may result in immediate termination of access and disciplinary action.

3.2 Feedback License

If you provide suggestions or feedback regarding the Applications, you grant us a royalty-free, perpetual license to use such feedback for any purpose without obligation to you.

4. Privacy & Security

4.1 Data Usage

We collect and process data (including location data for time-tracking verification) as described in our Privacy Policy.

4.2 Security Responsibility

While we implement industry-standard security measures, you are responsible for securing the device on which the Applications are installed. We are not liable for data breaches resulting from compromised personal devices.

5. Disclaimer of Warranties

THE APPLICATIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE THAT THE APPLICATIONS WILL BE ERROR-FREE OR UNINTERRUPTED.

6. Limitation of Liability

In no event shall Yoga Health Center be liable for any indirect, incidental, or consequential damages (including loss of data) arising out of your use or inability to use the Applications, even if advised of the possibility of such damages.

7. Dispute Resolution (Arbitration)

Any disputes arising from this Agreement that cannot be resolved through good-faith negotiation shall be settled by binding arbitration in San Mateo County, California, in accordance with the rules of the American Arbitration Association.

By using the YHC Time Tracker or The YHC Way, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
